This agreement outlines the terms for working with Loxley Marketing Ltd (“Company”), designed to give you peace of mind as we build your free website. By engaging with us, you agree to the following terms:

1. Ownership of Your Website
   The website we build for you will be your property, and you will have full ownership rights, including any intellectual property created for it. You are free to cancel your web hosting at your discretion, subject to the terms of the hosting provider.

2. Complimentary Services
   We provide website development services at no cost. However, you will need to pay for website hosting, which costs £150 per year. This is an unavoidable fee, as hosting is necessary for keeping any website live. We may recommend specific hosting providers, for which we may receive a commission.

3. Intellectual Property Rights
   All intellectual property created in the course of building your website belongs to you. This includes any copyrights, trademarks, and other rights associated with your website’s content and design.

4. Data and Financial Security
   You are solely responsible for the protection of your personal data, financial information, and any other sensitive information related to your website, hosting account, or associated services. The Company accepts no liability for data breaches or losses.

5. Google My Business Verification
   If Google My Business requires a video verification as part of their verification process, the responsibility for completing and submitting the video falls solely on the business owner. Loxley Marketing Ltd will assist with the setup and provide guidance, but the actual verification must be conducted by the business owner. Failure to complete the verification may delay or prevent the listing from being published or verified, and Loxley Marketing Ltd will not be held responsible for such delays.
   
   

6. Limitation of Liability
   Loxley Marketing Ltd and its associates will not be held liable for any indirect, incidental, or consequential damages. Our total liability will not exceed £200, regardless of the cause of action.

7. Marketing Materials
   You grant Loxley Marketing Ltd the right to use screenshots, links, and your business name for promotional purposes on our website or social media unless you request otherwise in writing.

8. Confidentiality
   You agree not to disclose any confidential information or trade secrets of Loxley Marketing Ltd during or after your engagement with us. Confidential information includes any non-public, proprietary details related to our business processes, client information, and business strategies.

9. Warranty Disclaimer
   Except as expressly stated, the Company makes no guarantees or warranties, including implied warranties of merchantability or fitness for a particular purpose.

10. Indemnification
    You agree to indemnify and hold Loxley Marketing Ltd harmless from any third-party claims or damages arising from your breach of these terms or use of our services.

11. Notices
    Any notices required under this agreement will be delivered via email. The Company will communicate with you at the email address you provide, and you agree to keep your contact information up to date.

12. Severability
    If any part of this agreement is deemed unenforceable, the remainder will remain in full force and effect.

13. Modifications
    We reserve the right to modify this agreement, provided that you are given at least 30 days’ notice. If you do not agree with the amended terms, you can terminate the agreement within this period.

14. Force Majeure
    Neither party will be held responsible for delays or failures in performance due to circumstances beyond their control, such as acts of God, war, or loss of internet access.

15. Survival
    Terms regarding confidentiality, indemnification, and liability will remain in effect even after the termination of this agreement.

16. Entire Agreement
    This document contains the full agreement between you and Loxley Marketing Ltd regarding your free website and supersedes any prior agreements.

17. Jurisdiction
    This agreement is governed by the laws of England and Wales. Any disputes arising under this agreement will be subject to the exclusive jurisdiction of the courts of England and Wales.

18. Termination
    Either party may terminate this agreement at any time, with or without cause, by giving written notice.
